Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between your corporate entity ("Partner", "User", or "Subscriber") and Parts Hub E-Transaction Complex - L.L.C - S.P.C. By accessing our platform, integrating our APIs, or utilizing our AI claims and procurement network, you agree to be bound by these Terms.

1. B2B Eligibility & Account Verification

PARTS HUB is exclusively a commercial B2B platform. To create an account and access our marketplace, you must represent a validly licensed corporate entity (Insurance Provider, Automotive Repair Workshop, or Spare Parts Distributor) operating within the UAE or MENA region. You warrant that all documentation submitted during KYC/onboarding (including Trade Licenses, Tax Registration Numbers, and Power of Attorney) is authentic and current.

2. Ecosystem Responsibilities & Rules of Conduct

To maintain trust across our interconnected network, participants agree to strict operational standards:

• Insurance Partners: Agree to process automated First Notice of Loss (FNOL) data in good faith and adhere to agreed-upon Service Level Agreements (SLAs) for claim approval and settlement disbursement.
• Workshop (Garage) Partners: Warrant that all damage photographs and video walkthroughs uploaded via digital job cards represent unaltered, authentic depictions of the subject vehicle. Workshops must obtain necessary policyholder consents before uploading vehicle telemetry.
• Spare Parts Suppliers: Strictly prohibited from listing or dispatching counterfeit, uncertified, or salvaged components under Genuine (OEM) classifications. Suppliers must honor all broadcasted RFQ pricing and delivery windows.

3. AI Estimating & Advisory Disclaimer

Our proprietary computer vision and AI estimating models are advanced decision-support tools designed to accelerate damage assessment and procurement cost calculation. While our algorithms achieve high statistical accuracy, PARTS HUB does not warrant that AI-generated estimates are infallible. Final repair authorization, structural safety verifications, and engineering judgments remain the sole legal and professional responsibility of certified loss adjusters and licensed workshop technicians.

4. Intellectual Property Rights

All software, code, UI/UX designs, computer vision models, proprietary parts cross-referencing databases, trade secrets, and trademarks associated with PARTS HUB remain the exclusive property of Parts Hub E-Transaction Complex - L.L.C - S.P.C. Partners are granted a limited, revocable, non-transferable commercial license to access the platform during an active subscription term. Reverse engineering, scraping, or copying our database structures is strictly prohibited.

5. Financial Terms, Commissions & Taxes

Platform subscription fees, marketplace transaction commissions, and API usage charges are billed in United Arab Emirates Dirhams (AED) or US Dollars (USD) according to your executed Order Form. In compliance with UAE Federal Decree-Law No. 8 of 2017, Value Added Tax (VAT) at the prevailing statutory rate (5%) will be applied to all taxable supplies and invoiced accordingly.

6. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, PARTS HUB shall not be liable for any indirect, incidental, consequential, or punitive damages—including lost profits, repair bay downtime, or delayed parts shipments. Our total aggregate liability arising out of or related to these Terms shall not exceed the total subscription and commission fees paid by your entity to PARTS HUB in the twelve (12) months preceding the claim. Partners agree to indemnify and hold PARTS HUB harmless from any third-party claims arising from fraudulent claim submissions or improper installation of automotive parts.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) and the applicable federal laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE, and the proceedings shall be conducted in the English language.
